Carriers Space — Terms & Conditions

Effective November 3, 2026.

These Terms & Conditions govern the business use of Carriers Space provided by Carriers Space Inc., a Delaware corporation ("Carriers Space," "we," "us"). The "Customer" is the carrier or other organization accepting these Terms through its authorized representative. "Authorized Users" are individuals permitted to use the Customer's account.

1. Agreement and scope

An authorized representative accepts these Terms by expressly agreeing to them during registration or another acceptance process that presents these Terms. That representative must have authority to bind the Customer. An employee without that authority must obtain authorization before accepting for the Customer.

These Terms concern the platform, including driver and asset records, hiring workflows, document management and electronic signatures. They do not replace employment agreements, driver releases or other documents administered by a carrier. An applicant or driver who receives an application or signing invitation does not become responsible for the carrier's subscription merely by completing that workflow. Recipient-specific electronic-record disclosures and the documents presented for signature apply to that transaction.

An individually negotiated agreement signed by both parties controls over conflicting provisions of these Terms. A paid order must identify its applicable subscription terms before purchase.

2. Accounts and authorized access

The Customer must provide accurate registration information, maintain current contact details and grant access only to authorized individuals. Users must protect their credentials and private invitation links, use only their own authorized accounts, and notify [email protected] of suspected unauthorized access.

Account roles determine available actions. A user may hold multiple roles. Account Owner and Accounting roles may manage billing where billing is available. The Customer is responsible for assigning and removing roles appropriately, including when staff leave. A role assignment does not authorize a user to act outside the Customer's lawful authority.

3. Permitted use

Use the service only for lawful business activities and records you are authorized to access or administer. Do not impersonate a driver or another user; apply a signature without the signer's authority; upload malware; bypass permissions or usage limits; probe another customer's records; or interfere with the operation or security of the service. Do not use the platform to distribute unsolicited advertising or unlawfully obtain employment, medical or identity information.

4. Customer records and responsibilities

The Customer retains its rights in its records. It authorizes Carriers Space to process, store, display, transmit and generate copies of those records as needed to provide the requested service, protect the service and comply with applicable law. This permission does not authorize selling private documents or publishing them for advertising.

The Customer is responsible for the accuracy of information it supplies, its authority to collect and share personal information, applicable notices and consents, access permissions, and legally required retention. Information retrieved through DOT lookup or other external sources must be reviewed before use; retrieval does not independently verify a person's identity or authority to represent a company.

Archiving a document removes it from the current-document workflow but is not permanent deletion. Replacement may preserve the prior record. The Customer should retain its own copies where needed to meet its obligations.

5. Hiring, compliance and third-party information

Carriers Space provides administrative tools. It does not make hiring decisions, determine driver fitness, certify a carrier's legal compliance, or provide legal advice. A completed checklist, uploaded file or displayed status is not a determination that a record is authentic, current or legally sufficient.

The Customer remains responsible for evaluating applicants, obtaining required permissions and conducting required checks. Signing a release in Carriers Space does not itself order a background report, complete an FMCSA query or replace consent required in an external system. In particular, a full Clearinghouse query requires the applicable driver consent through Clearinghouse. Third-party information may be delayed or unavailable.

6. Electronic documents and signatures

Signers must review the documents and information presented before final submission. Agreeing to use electronic records is distinct from signing a particular document. A completed signature field alone does not necessarily submit a document; the workflow's final confirmation controls submission.

The sending carrier is responsible for the document's contents, the intended recipient and the purpose of requesting a signature. Applicable electronic-record disclosures explain technical requirements, copies and alternatives. These Terms do not eliminate a legally required alternative to electronic delivery.

Completed copies are delivered through the applicable workflow, including signed-copy emails. Delivery can fail because of an incorrect address, filtering or technical problems. Contact support if a copy is missing. Keep a copy for your records. Changing a profile or closing a page does not revoke a completed signature; request corrections from the sending carrier.

7. Privacy and deletion

Our Privacy Policy at https://app.carriersspace.com/privacy.html describes platform processing. The account-deletion procedure is available at https://app.carriersspace.com/account-deletion.html. Submit requests to [email protected]; do not include passwords or full identification numbers in an ordinary support email.

Following verification, the approved account-deletion process provides for deletion within 30 days of account data not subject to an explained retention exception, and removal of residual backup copies within 90 days. Carrier employment, qualification, signed-document and audit records may require separate retention. We explain applicable exceptions and coordinate requests concerning carrier-controlled records. Removing an employee's access does not automatically erase the carrier's document history.

8. Plans and charges

Only the plan and charges expressly presented and accepted at purchase apply. A test payment, sample price or Sandbox subscription is not a live purchase. Paid subscriptions, when offered, are subject to the subscription terms presented before purchase. These Terms alone do not authorize a new charge or enrollment in a paid subscription.

Applicable plan allowances and usage restrictions must be presented before the Customer selects a plan.

9. Service operation

Internet access and a supported browser or application are required. Maintenance, network failures, external-provider interruptions and other technical issues can affect availability. No uptime percentage or guaranteed response time is established by these Terms. This does not excuse obligations imposed by applicable law or an individually agreed service commitment.

If use violates these Terms or presents a security risk, we may restrict the affected access as reasonably necessary to address that issue. Where practicable and lawful, we will explain the restriction and how to resolve it. Billing-related restrictions follow the applicable subscription schedule, rather than this security provision.

10. Intellectual property

Carriers Space and its licensors retain ownership of the platform, software and branding. The Customer and Authorized Users may access available features for authorized business purposes under these Terms. This permission does not transfer software ownership or rights in another party's records. Users may retain and lawfully use document copies they are entitled to receive.

11. Service communications

We may send account, security, billing and workflow communications to the relevant contacts. Application-completion notifications follow available recipient preferences. A no-reply sender address is not a support channel; contact [email protected]. Marketing communications are separate from operational notices and must follow applicable consent and unsubscribe requirements.

12. Ending use and changes

The Customer may stop using the service and request account closure through support. A paid Customer must also cancel renewal through the applicable billing process; uninstalling an application or ceasing to sign in is not a cancellation request. Account closure, subscription cancellation and deletion of records are distinct actions.

Material changes to these Terms will be identified and communicated before they take effect, with renewed acceptance where required. Changes will not retroactively alter a signed document or authorize undisclosed charges. This clause does not authorize changing an accepted price during an already-paid service period.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without applying its conflict-of-laws rules, subject to applicable federal law and mandatory rights that cannot lawfully be excluded. Contact [email protected] to raise a service or billing issue. This contact process does not prevent a party from seeking relief available under applicable law.

These Terms do not impose mandatory arbitration, an exclusive court venue, a contractual liability cap, an indemnity obligation or a waiver of non-waivable rights. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
